University Neighborhood Renaissance Committee ARTICLES OF ASSOCIATION Adopted April 22, 2010 Article One - NAME The name of the organization is the University Neighborhood Renaissance Committee hereinafter referred to as the Committee. The Committee serves as the representative governing body for the University Neighborhood, the first formally designated district of the City of Stockton’s Neighborhood Renaissance Program. The University Neighborhood is located in central Stockton, and covers an area of 1,210 acres, approximately 1.5 miles north of Downtown. The boundaries of the University Neighborhood planning areas are: Pershing Avenue to the west; Harding Way to the south; Cemetery Lane and North El Dorado Street – connected by Alpine Avenue - to the east; and the Calaveras River to the north. Article Two – PURPOSE By facilitating extensive community participation, the Committee will represent its University Neighborhood partners and stakeholders in planning and providing direction for achieving improvement goals within and distinct to the University Neighborhood. In partnership with public agencies and private groups, the Committee will identify strategies for implementing these improvement goals and apply its resources to that end. Goals and activities that will continue to evolve will advance a vision for maintaining and improving the quality of life in the University Neighborhood through physical and programmatic improvements representing the diverse needs of its resident and business partners. The purposes of the University Neighborhood Renaissance Committee include the following: • • • • • •

Helping the City of Stockton (City) understand and respond effectively to University Neighborhood needs; Determining where to focus scarce resources that are targeted to the University Neighborhood; Advising City staff in addressing and completing priority projects and improvements; Empowering residents to participate in neighborhood improvements; Identifying and seeking funding for improvement initiatives; Serving as the conduit and liaison between the greater University Neighborhood and other agencies regarding the development, design, and implementation of improvement initiatives; Reviewing improvement themes, goals, and actions embodies in the University Neighborhood Renaissance Plan and adjusting priorities as projects unfold or are completed; Communicating with citizens, businesses, and property owners within the University Neighborhood about priorities, activities, and initiatives; and Participating in any activities deemed by the Committee to be appropriate to the purpose and goals of the organization.

Article Three – MEMBERSHIP University Neighborhood membership is a benefit of residence, business ownership, or property ownership within the bounds of the University Neighborhood as defined above. Different levels of University Neighborhood membership may be established by the Committee by a majority vote. University Neighborhood Renaissance Committee regular membership consists of the four executive officers and seven team leaders elected as prescribed herein. Regular members are entitled to vote on matters before the Committee. University Neighborhood Renaissance Committee commercial membership consists of representatives of specific commercial entities within the University Neighborhood: University of the Pacific, Stockton Unified School District, the Miracle Mile Improvement District, the City of Stockton, St. Joseph’s Medical Center, San Joaquin RTD, and Central United Methodist Church. The commercial entities may appoint an individual to serve as their representative at meetings of the committee and at committee functions. The elected member of the Stockton City Council representing Area 4 shall also be considered a commercial member of the Committee. Commercial members are considered to be fully functioning Committee members but may not vote on matters before the Committee. Article Four - AMENDMENT OF ARTICLES OF ASSOCIATION A two-thirds vote by the Committee is required to amend the Articles of Association.

University Neighborhood Renaissance Committee BYLAWS Adopted April 22, 2010 Revised December 15, 2011 Section One – OFFICERS AND TEAM LEADERS The eleven regular members of the University Neighborhood Renaissance Committee (the “Committee”) shall include: • • •

One (1) each President and Vice-President One (1) each Secretary and Treasurer One (1) each team leader of the following divisions: o Corridors o Neighborhoods o Parks and Open Spaces o Economic Development, o Programs o Security o Communication

General responsibilities of the officers are attached in Addendum A; general responsibilities of team leaders are attached in Addendum B. Regarding residence requirement: Officers and team leaders are expected to reside, own a business, or own property in the University Neighborhood. The Committee adopts an exception to this requirement for Joy Neas who shall be allowed to complete her term of office subject only to term limitations herein expressed. Her service shall not preclude the exercise of one or more additional exceptions as herein adopted. An exception to this rule may be granted to an individual if he/she is duly nominated to serve on the Committee by the nominating committee and then affirmatively supported by a majority vote of the qualified members present at the election meeting in December. Mo more than (1) Officer and no more than three (3) Team Leaders on the Committee may serve as the result of an exception at any one time. Officers and team leaders are expected to reside, own a business, or own property in the University Neighborhood. The Committee adopts an exception to this requirement for Joy Neas who shall be allowed to complete her term of office subject only to term limitations herein expressed. Her service shall not preclude the exercise of one or more additional exceptions as herein adopted. As previously set forth, commercial members of the Committee shall be representatives of specific commercial entities within the University Neighborhood (UOP, SUSD, MMID, City Of Stockton, St. Joseph’s Medical Center, SJRTD, Central United Methodist, and Stockton City Councilmember from Area 4). These representatives are appointed to serve on the Committee

by their respective enterprises and are not required to be members of the University Neighborhood as previously defined. The commercial members of the Committee are considered fully functioning Committee members except that they have no vote in matters before the Committee. Section Two – ELECTION OF OFFICERS AND TEAM LEADERS Candidates for officers and team leaders shall be submitted by the Nominating Committee three (3) weeks prior to the regular December meeting. The candidate slate will be announced by email via the December meeting notice two (2) weeks prior to the December meeting. The slate shall be presented to the membership during the December meeting for vote. Nominations for officers or team leaders may also be made from the floor by any qualified member. A majority vote of the qualified members present is required for election except as previously stated regarding an exception to the locality rule. Section Three - TERMS OF OFFICE FOR OFFICERS AND TEAM LEADERS President, Vice-President, Secretary and Treasurer (officers) are elected for a two (2) year term commencing on the date of the regular Committee meeting in December and ending on the date of the regular Committee meeting in December two (2) years later. Officers and team leaders may be re-elected for one (1) additional term for a total of four (4) consecutive years of service in a single office. A member may also serve two terms term as another officer, if elected. Therefore, a single individual is limited to a total of eight (8) years as an officer. The seven (7) team leaders are elected for a two (2) year term defined as above and may be reelected for two (2) additional terms for a total of six (6) consecutive years of service on the Committee as a specific team leader. The terms of officers and team leaders shall be staggered as follows: • The Vice-President (seat initially held by Lee) and the Secretary with three (3) team leaders: (corridors, parks, and programs) to be elected in even numbered years beginning in 2010. Time served during 2010 shall not be counted toward the limitations on terms as expressed herein. • The President (seat initially held by Bahr) and the Treasurer and four (4) team leaders: (neighborhoods, economic development, security and communications) elected in odd numbered years starting in 2011. If an officer or team leader should resign before his or her term ends or be unable to complete his or her term of office, the President and/or Vice-President, with concurrence of a majority of the Committee, may appoint an officer or team leader for the remainder of the un-expired term. Time so served shall not be counted toward the limitations on terms expressed herein. If any officer resigns or is unable to complete his or her term of office, the Committee may elect a replacement to complete the term by majority vote. Any officer or team member who resigns or is unable to complete his/her term of office is nonetheless credited with a full term of office for purposes of term limitations as set forth herein.

Section Four – REMOVAL OF COMMITTEE MEMBERS – VACATED POSITION If a Committee member is deemed unfit to continue his/her service, he/she may be removed from office. The matter must be placed on the agenda of a regular or special meeting by no fewer than three Committee members. Following a thorough discussion of the matter, a two-third vote of the Committee shall be required to remove any member. Removal is effective immediately if a two-thirds vote is attained. Furthermore, any Committee member who misses three (3) unexcused meetings within a one year period without the consent of one of the Officers shall be deemed to have vacated the office. Section Five - QUORUM AND VOTING A quorum for the Committee shall consist of at least one (1) officer and fifty percent (50%) plus one of the Committee members then serving on the Committee in attendance. Action by the Committee must be by a majority of the quorum present. Section Six - COMMITTEES Additional to the seven improvement teams (see addendum B), the Committee authorizes a Marketing and Communication Committee and a Nominating Committee, both detailed in Addendum C. Other committees may be formed and members appointed by the President and/or Vice-President with the concurrence of a majority of the Committee. Section Seven - MEETINGS Committee meetings will be held on the 4th Thursday of each month except in November when the meeting shall be held on the 3rd Thursday and December when the meeting shall be held on the 2nd Thursday. Additional special meetings of the committee may be called when deemed necessary by the President and/or Vice-President or by any two (2) members of the Committee. Notice of such meeting may be provided by email or with mailed notice, provided such notice is given at least seven (7) days prior to the special meeting. An emergency meeting may be called with less than seven (7) days notice provided that email notification is provided along with a telephone call to every Committee member. Final meeting notices including the specific time and place will be sent to Committee members along with a tentative agenda and previous meeting’s minutes no later than one week prior to the next scheduled meeting. A draft meeting notice may be circulated among Committee members two weeks prior to the next scheduled meeting subject to the Secretary’s ability to meet that deadline. In any event, Committee members are free to offer suggestions for agenda items between one meeting and the next. The Annual Meeting of the Committee shall be held in December for the purpose of conducting regular business and electing officers and team leaders. Any member of the University Neighborhood in good standing may attend. Notice of the annual meeting should be made to as wide an audience as possible of University Neighborhood residents, business owners, and property owners.

Section Eight - FINANCES The university Neighborhood Renaissance Committee will maintain financial assets under the purview of the treasurer but subject to the authority of the Committee. The treasurer shall maintain appropriate accounts for all financial assets. Two signatures shall be required to expend any Committee funds. If the Committee begins to operate as a 501(c)3 or under the umbrella of a 501(c)3, the Treasurer shall be responsible for complying with all associated regulations. If the University Neighborhood Renaissance Committee should ever formally cease to exist, the Committee would determine the disposition of its assets at that time by majority vote and in accordance with all laws and regulations. This section shall be revisited annually for consideration of revision. Section Nine - RULES OF ORDER The most recent version of Roberts Rules of Order shall govern parliamentary procedure during University Neighborhood Renaissance Committee meetings. Section Ten - BYLAWS The bylaws shall be adopted for the governance of the University Neighborhood Renaissance Committee by a majority vote of the Committee. A two-thirds vote by the committee is hereafter required to amend the bylaws.

University Neighborhood Renaissance Committee ADDENDUMS Adopted April 22, 2010 ADDENDUM (A) OFFICER AND TEAM LEADER POSITIONS Leadership Team: (president, vice-president, secretary, and treasurer): The responsibilities of the University Neighborhood Renaissance Committee Leadership Team shall include, but not be limited to, the following: 1. Setting overall strategy for the University Neighborhood Renaissance Committee; 2. Performing administrative functions of the committee; and 3. Leading efforts to revise Articles of Association, By-Laws, and Addendums as needed. President & Vice-President The President’s and Vice-President’s responsibilities include but are not limited to: 1. Supervising and coordinating University Neighborhood Renaissance Committee activities; 2. Calling and presiding over regular and special meetings of the Committee; 3. Ensuring the holding of the Annual Meeting as called for by the bylaws; 4. Ensuring the completion of the University Neighborhood Renaissance Committee Annual Report; 5. Serving, if interested and/or as needed, as a member of any standing or ad hoc committee, with the right to vote; 6. Appointing standing or ad hoc committees with committee chairs; and 7. Serving as a principal resource for team leaders and liaison with the other organizations. Secretary The Secretary’s responsibilities include but are not limited to: 1. Giving notice of the University Neighborhood Renaissance Committee meetings; 2. Taking and distributing meeting minutes at Committee and special meetings; 3. Maintaining a permanent record of all University Neighborhood Renaissance Committee proceedings; 4. Tallying votes of the Committee and general membership; 5. Maintaining and circulating the current Articles of Association, Bylaws and Addendums of the University Neighborhood Renaissance Committee; and 6. Taking attendance at University Neighborhood Renaissance Committee meetings. Additional responsibilities for this position: 1. Assuring completion of the Annual Report; 2. Serving as a resource for the database administrator, contributing editor(s) and website administrator; and 3. Supervising the Committee’s annual election as needed. Treasurer The Treasurer’s responsibilities include but are not limited to:

Receiving all funds paid to the University Neighborhood Renaissance Committee; Disbursing money on properly authorized orders/invoices; Maintaining the permanent record of all financial matters; Preparing a treasurer’s report on the status of the operating funds for all meetings of the Committee, including the Annual Meeting; 5. Preparing a final report for the prior fiscal year and submitting such report to the Committee; 6. Transferring financial records to the current treasurer no later than two weeks following the election of the new treasurer; 7. Assisting in preparation of event-based budgets and related record keeping; 8. Recruit an outside group/firm to conduct and independent audit as needed. Committees with 501(c) 3 or 501(c) 7 statuses include these additional responsibilities as Treasurer’s responsibilities: 1. Preparing and filing an annual tax return; 2. Preparing an annual budget; 3. Overseeing risk management and insurance;. 4. Maintaining the Committee’s non-profit tax status. ADDENDUM (B) TEAM LEADERS Team leaders’ responsibilities include but are not limited to: 1. Serving as liaisons among the University Neighborhood Renaissance Committee leadership, the membership, and the community at large; 2. Representing the diverse interests of the general membership; 3. Assisting the in the administration of the University Neighborhood Renaissance Committee and in volunteer identification and recruitment; 4. Attending Committee meetings on a regular basis; 5. Attending Committee events on a regular basis; 6. Writing annual team goals for the consideration and adoption of the Committee; 7. Submitting financial goals, including budgets, in writing to the treasurer throughout each fiscal year - the financial goals are to be reviewed and rejected, accepted, or accepted with modifications by the Committee; and 8. Contributing to the work of the team for which they are specifically working. Additional responsibilities of the Officers and Team Leaders include: 1. Leading the University Neighborhood Renaissance Committee Programs Planning meeting, scheduled annually in January, where a diverse calendar of events for the fiscal year (January 1 to December 31) are identified; 2. Presenting the proposed calendar of events to the Committee for approval at the February Committee meeting; 3. Planning, arranging and coordinating events for the University Neighborhood Renaissance Committee; 4. Establishing financial and operational objectives for University Neighborhood Renaissance Committee events; 5. Determining possible subcommittees and electing/appointing subcommittee chairs that best fulfill the annual programming goals of the University Neighborhood Renaissance Committee;

6. Ensuring that the Communications Committee is informed of all events with sufficient time to make sure members are notified of events and encouraged to attend; 7. Collecting informal feedback from event attendees and informing the Committee of “lessons learned” from each event; 8. Insuring that all representatives on the Programming Committee attend events that are planned by the committee. Membership Activities of the Committee The Membership responsibilities of the officers and team leaders of the Committee include: 1. Creating and executing strategies to welcome new members to the University Neighborhood and the University Neighborhood Renaissance Committee; 2. Planning, with the Programming Committee, an annual welcoming event for new members; 3. Creating strategies to market membership to the University Neighborhood Renaissance Committee; 4. Leading Committee recruitment efforts to identify volunteers to serve on committees and to join the Committee; 5. Insuring that UNRC informational materials and volunteer sign-up sheets are available at University Neighborhood Renaissance Committee events. ADDENDUM (C) COMMITTEES Marketing and Communications Committee Under the leadership of the communications team leader members of this committee include the database administrator, website administrator, and contributing editor. The responsibilities of the Marketing and Communications Committee include coordinating the communication and marketing strategies for the University Neighborhood Renaissance Committee and assisting other committees with creation and execution of fliers, postcards, and other mailers. Website administrator responsibilities include but are not limited to: 1. Managing and updating the content of the website as requested by the Committee; 2. Writing text for the University Neighborhood Renaissance Committee website, listserv messages and other publications from the University Neighborhood Renaissance Committee; 3. Submitting University Neighborhood Renaissance Committee monthly meetings; 4. Writing text for and coordinating supplemental and other sponsored paper mailings; 5. Updating and maintaining the Committee’s listserv. Nominating Committee The responsibilities of the Nominating Committee include but are not limited to: 1. Soliciting nominees for officers and team leader positions by canvassing current Committee members and collaborating with the Marketing and Communications Committee to develop a strategy to make opportunities for leadership known to the general membership; 2. Presenting a slate of nominees, through the co-chair serving as chair of the Nominating Committee, to the Committee for officers and team leader positions in time for inclusion in the notice of the Annual Meeting in December.
