RESOLUTION AUTHORIZING CONVEYANCE OF SCHOOL PROPERTY TO THE CITY OF GALAX FOR PURPOSES OF FINANCING IMPROVEMENTS TO AND EXPANSION OF SCHOOL PROPERTY

WHEREAS,the Galax City School Board, which has general control and supervision of all matters pertaining to the public schools in the City of Galax school system (the "School Board"), and the City of Galax, Virginia (the "City") have determined to cooperate in a plan to finance the cost of a project which each has found to be necessary and desirable to provide

improved public school facilities and improved public education, which plan includes interim financing and long term financing; and

WHEREAS,such a project consists ofthe design, acquisition, construction and equipping

of additions and renovations to City public elementary school facilities (the "School Project"); and

WHEREAS, the School Board and the City intend long-term financing (the "Long-

Term Financing") of the School Project to be provided by the United States of America,

Department ofAgriculture's Rural Development program("Rural Development"); and

WHEREAS,Rural Development requires certain conditions to be met before Long-Term

Financing is made available, and these conditions must also be met in order to release School Project interim financing construction funds; and

WHEREAS, these conditions include a requirement for School Project real property

(Galax Elementary School)to be owned by the City; and WHEREAS,Section 22.1-125 ofthe Code of Virginia of 1950, as amended, provides for

title to Galax Elementary School property located at 225 Academy Drive, Galax, Virginia to be

vested in the City with the mutual consent of the School Board and governing body of the City,

and further provides that official care and authority of a school board covers property included within the boundary ofthe school division when title to such property is vested in a city; and WHEREAS, the School Board desires to have title to Galax Elementary School real

property vested in the City in order to proceed with financing and construction of the School Project, recognizing that the care of and authority over Galax Elementary School will remain with the School Board, and attached to this Resolution is a form of deed to convey such interest

in Galax Elementary School real property for title to vest in the City(the "Deed"). NOW,THEREFORE,BE IT RESOLVED by the School Board as follows:

1.

The School Board hereby finds and determines that it is in the best interest of the School Board for title to the Galax Elementary School property to be vested in the City and consents to the City acquiring the fee interest in such real property, in order to proceed with the plan for the financing and construction ofthe School Project as described above.

2.

The School Board hereby approves the form ofDeed in order for title to the Galax Elementary School property to vest in the City,recognizing that the official care ofand authority over Galax Elementary School shall remain with the School Board. The Chairman ofthe School Board is authorized and directed to execute

and deliver the Deed in substantially the form attached hereto, with such execution and delivery being conclusive evidence ofsuch approval. 3.

This Resolution shall take effect immediately upon its passage.

Tax Parcel 64-100 containing 4.0 acres (Galax Elementary School Parcel) and being a portion of that same land conveyed to the Galax School Board of the Town of Galax, Virginia by deed dated November lO"* 1941, and recorded in Deed Book 82, Page 306 in the Clerk's Office of the Circuit Court of the County of Grayson, Virginia. By way of explanation. The Galax School Board of the Town of Galax and the Grantor are one in the same, by virtue of the transition of the Town ofGalax to an independent city on December 6,1953.

This conveyance is made subject to such prior easements, conditions and restrictions of record insofar as they may lawfully affect the property.
