POLICY ON DETERMINATION OF MATERIALITY OF EVENTS / INFORMATION (Adopted by the Board on 13th February, 2016) Objective: The Policy is to ensure timely and adequate disclosure of material events and price sensitive information under Regulation 30 of the SEBI (LODR) Regulation, 2015 by the Company. Information relating to material events and which is price sensitive in nature, shall be promptly disseminated to the Stock Exchange(s). Material Event: Material event means any information which relates to the Company and which, if published is likely to materially affect the price of shares of the Company. The Company shall disclose to the Stock Exchange(s), the following events: a. b. c. d. e. e. f. g. h.
Temporary or permanent closure of any unit due to strikes, lock-outs, on account of power cuts, etc. Change in the general character or nature of business Disruption of operations due to natural calamity Commencement of Commercial Production / Commercial Operations, Any major expansion or execution of new projects, Developments with respect to pricing / realization arising out of change in regulatory framework. Litigation /dispute with a material impact. Revision in Ratings Any other information having bearing on the operations / performance of the Company or Price Sensitive Information.
Information of material events and Price sensitive information shall be given by the Company to Stock Exchange(s) and disseminated on a continuous and immediate basis, so that present and potential investors are able to take informed decision with respect to their investment in the Company. Authorisation The Board of Directors shall authorize one or more Key Managerial Personnel (KMP) of the Company, for the purpose of determining materiality of an event or information in terms of this policy and making disclosure to the stock exchanges. The materiality of the event or information will be decided in consultation with the other Heads of the Departments or persons connected with the event or information.

Timely disclosure of material events / information The Company shall adhere to the statutory timeframes for disclosure of information to the stock exchanges of all events / information from the occurrence of the event/information. Delay, if any, shall be explained along with the disclosures. Disclosure on the website of the Company All such events or information which has been disclosed to stock exchanges under the Listing Regulations shall be made available on the Company’s website.
