Re: EXPRESSION OF INTEREST (EOI) FOR A RESIDENTIAL APARTMENT Dear Sir/Madam, 1. I/We understand that Eldeco Sohna Projects Limited (herein “Company”) is coming up with a Group Housing Project at Sohna, Haryana (“Project”). I/We hereby express my/our interest for registration of a residential apartment in the Project having tentative super built up area ……….(sqft) consisting of ………. Bed Room/s (“Apartment”), for a basic price of Rs. ………. (“Basic Price”) translating to Basic Rate of Rs…………per sq ft. I/We understand and agree that I/We shall not be entitled to any commission / further discount on the above Basic Price. 2. I/We understand that right to use one parking space shall be given with the allotment of the Apartment and the same cannot be sold/dealt with independently of the Apartment. The value of the parking space shall be added over and above the Basic Price indicated hereinabove. 3. I/We understand and agree that above rates reflect only the Basic Price of the Apartment. All other charges like Preferential Location Charges (PLC), Maintenance security, power back-up, value additions, utility connection charges, proportionate club charges, electrification, fire charges etc. and any other charge of common nature shall be additionally payable by me/us. These charges shall be as per the price list of the Company or the terms of allotment. 4. I/We agree to pay as and when demanded by the Company the proportionate External Development Charges, Infrastructure Development Charges and any other charges as may be determined by the Director General Town & Country Planning, Haryana from time to time including any interest and/or increase thereon. 5. I/We agree to pay the Basic Price of the Apartment, as per the proposed payment plan mentioned hereunder: Sl. No. Installment 1. At the time of EOI 10% of Basic Price 2. schedule as indicated above, or other terms of this advance registration/ allotment or fails to execute and return the Application Form/Allotment Agreement within the period, as may be notified by the Company, then the Company may at its sole discretion treat my/our EOI / allotment as cancelled and in that event the amount paid herein/booking amount /Earnest Money may be forfeited and I/We shall not raise any claim, dispute etc. against Company in this regard. 7. The said amount would be adjusted against the amount payable by me/us, when the Apartment in the Project is allotted in my/our name. 8. I/We have clearly understood and hereby agree that this EOI merely expresses my intent to seek registration of an apartment in your Project and notwithstanding the fact that the Company may have issued a receipt in acknowledgement of the money tendered with this application, this EOI does/would not constitute an Allotment/Agreement to Sell. 9. I/We understand and agree that registration of this EOI shall not amount to booking / allotment of an apartment or creation of any right, title and interest of any nature whatsoever in any apartment of the Project. 10. I/we agree to pay the installment and all other charges as per the payment plan indicated above/terms of allotment and I /we agree that the total amount payable by me/us for the Apartment shall be based on the area of the Apartment as would be given in the Allotment Agreement. In the event of the Company allotting me/us Apartment in the Project then I/we agree to pay further installments of Basic Price and other charges as per terms & conditions of the allotment and as per payment plan opted by me/us. I/we also agree to execute Application Form/Allotment Certificate & Agreement of the Company as and when called upon by the Company. I/We understand that my/our signing of the Allotment Certificate & Agreement of the Company constitutes acceptance of the terms of allotment and I/We agree not to raise any dispute thereto later on. I/We understand that in case I/We do not agree with the terms of allotment then I/We have the right/remedy to seek refund of the full amount deposited by me/us till that date without any deduction or interest and agrees not to raise any other claim/dispute in this regard 11. I/We am/are making this application with the full knowledge that the Company has the sole right and discretion to decide on the location/floor of the Apartment in the Project and I/we also understand and agree that areas of the Apartment is tentative and subject to change and in case of variation in areas, necessary adjustment in cost plus or minus will be made at the Basic Rate prevailing at the time of execution of this EOI and I/We shall not have objection in this regard in any manner, whatsoever. 12. I/We understand and agree that the Basic Rate mentioned herein is for a typical 10th floor apartment without any preferential location charges. I/We understand that the apartment allotted to me may be located on some other floor, in which case I agree to pay the Basic Price differential between the allotted floor and the 10th floor as per the Company Price list. I also agree to pay the PLC as part of my Basic Price if the allotted apartment is deemed to be so located and not raise any dispute in this regard in any manner, whatsoever. 13. It is understood that the Company shall endeavour to offer a firm allotment within 18 months of this EOI. I/we agree that if the Company fails to come up with the Project Signatures Applicant

or offer allotment of the Apartment within a period of 18 months or any extension thereof as may be mutually decided, no claim of any nature, monetary or otherwise, would be raised by me/us except the amount as paid by me/us till that date, which shall be refunded to me/us with simple interest at the rate of 9% per annum calculated for the period for which such monies have been lying with the Company. In that event my/our application shall stand cancelled and no right, title, interest or claim of any nature, whatsoever, shall accrue to me/us in respect of the Apartment. 14. I/we shall not assign/transfer the interest/rights in this EOI /allotment without the prior written approval of the Company. Further, I/We also agree to pay prescribed transfer charges for such transfer/assignment and complete the necessary formalities as may be advised by the Company. 15. I/we agree that any allotment against this EOI shall be subject to the terms and conditions of the standard Application Form/Allotment Certificate and Agreement of the Company. 15. Registration fees, stamp duty, Government taxes including VAT and Service Tax, and other miscellaneous charges shall be borne and paid by the applicant, as applicable. Prices, terms and conditions stated herein are not exhaustive, and have been indicated merely to apprise the Applicant. Super Area includes covered area plus proportionate share of common areas like staircase, passage, corridors, other common spaces etc. Service Tax shall be charged extra, as applicable. All taxes, charges, cess or fee etc, whatsoever or of any kind, present or that may be levied in future (including retrospectively) shall be borne and paid by the applicant. In case of overseas buyers, the observance of the provisions of the Foreign Exchange Management Act, 1999 and any other law as may be prevailing and applicable shall be the responsibility of the applicant.
