Circular Ref. No.: 709/2017 To all Members, Sub: Suspension of trading in Equity Shares for non-compliance with SEBI (LODR) Regulations, 2015 Pursuant to the provisions of SEBI circular no. CIR/CFD/CMD/12/2015 dated November 30, 2015 with respect to Standard Operating Procedure (SOP) for suspension and revocation of trading of shares of listed entities for non-compliance of certain regulations of SEBI (LODR) Regulation, 2015; it is hereby informed that Orbit Corporation Limited has not submitted the shareholding pattern & not paid the applicable fines as on date for the quarter December 2016 & March 2017. Hence, the company will be suspended w.e.f. August 02, 2017. The entire promoter shareholding of the company will continued to be frozen till further notice. In case, Orbit Corporation Limited complies with respective requirement/s including payment of fines on or before July 27, 2017 (five days before the proposed date of suspension), the trading in Equity Shares of the said companies will not be suspended. However, in case Orbit Corporation Limited fails to comply with the provisions of SEBI (LODR) Regulations, 2015 on or before July 27, 2017 then: • Trading in the Equity Shares of the companies would be suspended w.e.f. August 02, 2017 and the suspension will continue till such time the Company complies including the payment of fine. • 15 days after suspension has been effected, trading in the shares of non-compliant companies would be allowed on Trade for Trade basis in (Series “BZ”) on the first trading day of every week for six months. Please note, Promoter & Promoter group holdings of Orbit Corporation Limited is freezed w.e.f. June 27, 2017 due to non-compliance of above SEBI circular pursuant to Reg. 55A & Regulation 27 (2) for two consecutive quarters i.e. December 2016 & March 2017. If the company do not comply with the above SEBI circular pursuant to Reg. 55A & Regulation 27 (2), then the company will be suspended as per the provisions of circular no. NSE/CML/35203 dated June 27, 2017 & NSE/CML/35297 dated July 05, 2017. If the company complies with SEBI circular dated November 30, 2015 pursuant to Reg. 55A & Regulation 27 (2), then the suspension date for Orbit Corporation Limited would be August 02, 2017.
