IMPORTANT NOTES 1. DOCUMENTS All signatures affixed to any of the documents submitted MUST be made in wet blue ink; and All of the sample documents appended hereto must be fully completed, without any missing data. 2. SIGNER The individual who is duly appointed and authorized to act on the company’s behalf by the Board of Directors must be a Legal Director of the company and an authorized signatory of the Company’s bank accounts to be used for the purchase of the bank debentures; and Power of Attorney documents will not be accepted. 3. COMPANY 　 The Company should be the Owner of the Projects as a basis for which the Bank Debentures are bought; and The Company should have all necessary licenses in accordance with the Monetary policies of the country of incorporation of his company; and The Company should have all necessary licenses in accordance with the Monetary policies of the country of his paying and receiving banks; and The Company should have cash funds of at least first tranche of transaction in his Bank Account; and The Company should have total cash funds plus credit lines (whether own project funding banks or third party exit banks) of at least the contract amount of bank debentures to be bought; and The Beneficiary of the Bank Debentures must also be the Buyer; and The Company should be incorporated in an acceptable country (which includes USA, Canada, Western Europe, Hong Kong, South Korea, Singapore etc) 1 | P a g e

PROJECTS The Projects should have the approval of the authorized state bodies at the place of realization of the Projects; and 　 The Projects should be considered and approved by their Project Funding Banks whether it is in-house or third party project funding banks. 5. CONTRACT AMOUNT The Contract Amount (total face value of Bank Debentures) should not exceed the total approved Projects value and the total cash and credit lines value. The Minimum Contract amount is 1 Billion Euro or USD and the Maximum Contract amount is 100 Billion Euro or USD. The Minimum First tranche is 500 Million Euro or USD. 6. BANKS 　 The Banks for the receiving and paying of the Bank Debentures should be one of the Top 25 Western European Banks &/or Top 4 USA Banks and should be the same bank; and The Bank Officers of this Bank must be Ready, Willing and Able to issue ICBPO via Swift MT-799 within 2 banking days after receipt and authentication of Issuing Bank’s Pre-Advice Swift MT-799 in a bank to bank protocol (either via bank phone, fax, email or swift). 7. BANK DEBENTURE TRADERS OR INVESTORS IF THE COMPANY IS A BANK DEBENTURE TRADER OR INVESTOR, THEN THE COMPANY NEED TO HAVE THE NECESSARY INTERNATIONAL AND NATIONAL MONETARY AUTHORITIES APPROVALS TO BUY AND SELL OR INVEST IN BANK DEBENTURES. 8. BUYING PROCEDURES 8.1

BUYER SUBMITS LETTER OF INTENT (LOI), CIS, COPY OF PASSPORT, NON-SOLICITATION LETTER, CORPORATE RESOLUTION, CERTIFICATE OF INCORPORATION, IMFPA, PROOF OF FUNDS AND LETTER OF AUTHORIZATION TO VERIFY FUNDS.

SELLER PRIVATE CONSULTANT WILL CONTACT THE BUYER DIRECTLY BY PHONE, EMAIL AND SKYPE (IF ANY) AND AUTHENTICATE BUYER’S FUNDS AND CREDIT LINES TO CONDUCT DUE DILIGENCE ON THE BUYER.

IF BUYER PASSES COMPLIANCE OF SELLER PRIVATE CONSULTANT, THEN SELLER PRIVATE CONSULTANT WILL FORWARD THE BUYER’S LOI TO THE SELLER FOR FINAL COMPLIANCE.

THE REST WILL FOLLOW THE LOI’S TRANSACTION PROCEDURES.

9. PURCHASING PERIODS 9.1

THE FIRST PERIOD IS FROM 19TH JAN 2016 ONWARDS ON FIRST COME FIRST SERVED BASIS ANNUALLY AND THE HISTORICAL AVAILABLE QUOTA IS THREE (3) TRILLIONS EURO/USD SINCE JAN 2013.

THE SECOND PERIOD FROM 1 SEP ONWARDS ON FIRST COME FIRST SERVED BASIS ANNUALLY AND THE HISTORICAL AVAILABLE QUOTA WAS THREE HUNDRED (300) BILLIONS EURO/USD IN SEPT. 2013 & 2014 BUT IN SEPT.2015, THE TOTAL AVAILABLE QUOTA WAS 600 BILLIONS EURO-USD.

10. ISSUING BANKS 10.1 THE MAJOR ISSUING BANK IS DEUTSCHE BANK, FRANKFURT, GERMANY AND THE SECONDARY ISSUING BANK IS HSBC LONDON, UNITED KINGDOM. 11. THE SELLER THE SELLER IS THE LEADING EUROPEAN (GERMAN) INTERNATIONALLY LICENSED BG DEALER AND PROBABLY THE LEADING GLOBAL BG DEALER. DATED : 6TH JAN 2016.
