1.)

Notice inviting bids

The Cotton Corporation of India Ltd., Navi Mumbai intends to engage Chartered Accountant Firms for Implementation of Goods and Service Tax (GST) within the Corporation. Introduction :The Cotton Corporation of India Ltd (CCIL), is a Government of India undertaking under administrative control of Ministry of Textiles. As per mandate given by the Govt. of India, the Corporation is a nodal agency to undertake Minimum Support Price (MSP) operations without any quantitative limit as and when the prices of raw cotton touches to the support price announced by the Govt. of India. In case the prices of raw cotton are above support price, the Corporation undertakes Commercial Purchase (CP) operations at its own risk and cost. Operation:The Corporation undertakes Kapas(Seed Cotton) purchase operations in various APMC’s/Market yards in all 11 cotton growing states at about 300 centres/APMCs under 14 branch offices. Further, we have 2 sales branches situated at Coimbatore and Kolkata and one godown at Kalamboli, Navi Mumbai. Its Head office is at CBD Belapur, Navi Mumbai. The kapas is purchased directly from the cotton farmers except in the northern states where it is through the commission Agents. The kapas purchased is processed in the various Ginning and Pressing factories engaged in the beginning of the cotton season through tender process. The Fully Pressed Bales (FP bales) are stored in nearest available CWC/SWC/Cooperative/private godowns. The FP bales are sold in domestic market and export market to the registered buyers through e-auction on daily basis. The by-product i.e. cotton seed is sold on day to day basis through eauction. The other miscellaneous items viz Ginjump, cowdy, RP/YP Bales, cotton waste are sold at Branch level at the end of the season. Apart from above, the Corporation let out its surplus office space on rent available at few of the branches and head office on which the service tax is collected from the tenants. Further, on sharing of common expenses also the service tax is collected.

Existing Accounting software (ERP):The Corporation is working in Oracle E-biz Suite R-12 Platform. Presently CCIL has the following Modules in operation i.e. Sales & Marketing, Inventory, Accounts Payable, Accounts Receivable, General Ledger Module and Human Resources Module (HR). All the relevant changes are required to be incorporated in ERP at Corporate office situated at CBD Belapur, Navi Mumbai. The details of the company are available on website www.cotcorp.gov.in CCI intends to appoint GST consultant for implementation w.e.f. 01.07.2017 as proposed by Govt. of India and therefore it invites tenders in two bid system.

2. Scope of Work Preparation of detailed road map from VAT/Service tax era to GST implementation and till filing of Annual GST return. The firm will guide and assist the Company during the various phases of impact identification, analysis, implementation of GST and review thereof. The various activities which would be involved and the role of the firm have been detailed below:a)

Obtaining an understanding of the business of CCI and collating information of various business activities of CCI

b)

Plotting the current Indirect tax treatment on the various business activities;

c)

Conducting discussions with the CCI’s team in relation to the capturing of the information and challenges thereof;

d)

Advising on the implication of GST on various transactions on the basis of the GST framework available in the public domain;

e)

Mapping the GST on the business activities viz-a-viz the current Indirect tax and providing a detailed analysis of the impact of GST;

f)

Study of existing ERP system and assisting in the modification required in ERP/CCI’s books of account & writing ERP entries.

g)

Preparation of the detailed road map which among other thing will also include a time schedule with clearly defined activities for ensuring successful implementation of GST.

h)

Help in finding a solution to upload ERP/GST data uploaded into GST Network.

i)

Review of the initial Impact analysis undertaken by the Company 3

Implementation of GST across CCI, after enactment of the GST legislation and notification of the rules, would involve:a)

Changes in the business processes on account of GST;

b)

Changes in documentation and maintenance of accounts, records, etc. as well as in the information technology systems;

c)

Changes in compliance requirements and the compliance structure;

d)

Preparation of the various Standard Operating Procedures (SOPs) for operations and compliance;

e)

Internal and external communication, change management and training of officials of the corporation;

f)

roll-out and monitoring.

g)

Assisting in preparation of the final document on the impact of GST on the Company based on the final GST legislation;

h)

Advising on the interpretation of various provisions of the GST legislation impacting the Company;

i)

Preparing list of issues and questionnaires relating to State level provisions and compliances required to be addressed by local consultants of CCI;

j)

Assisting in finalizing the documentation requirements and compliance requirements under the GST regime;

k)

Review of the SOPs prepared by the Company;

l)

Review of the internal and external communication and preparation of circular for guiding the branches of the Corporation.

m) General advice and guidance during the roll out and implementation of GST on All India basis. n)

Assisting in filing of various monthly/quarterly online/offline GST returns and claim of GST credits.

o)

Assisting in filing of Annual Return of GST. 4

Eligibility Criteria

The offer shall be considered only from Indian, technically competent, experienced and financially sound Accounting/Consulting firms of Chartered Accountants who meet the following pre-qualification requirements:a) The registered Chartered Accountant firm with minimum 15 years of experience and with at least 5 partners having minimum 3 FCA partners. b) The bidder is working or has worked as service tax or VAT consultant in minimum 2 big Corporate (private/ state PSU/central PSU) during last 3 financial years i.e. F.Y. 2014-15 to 2016-17 having minimum annual turnover of Rs. 100 crs in any one year in these three financial years. c) The bidder should have an office in Mumbai/Navi Mumbai/Thane. Address of the offices along with the name, address and contact number of official to be given as per form given in Annexure-I. d) The bidder entity/ any partner/ Director of the entity should not have been convicted in any disciplinary proceedings/ criminal case by regulatory authority(ies)/ court in connection with professional work. Bidder should not be negative list/black listed by any PSU or Govt. Department. Bidder to submit an undertaking in this respect as per relevant form given in Annexure II. 4. General terms and conditions a) Bidder shall, as part of their bid, submit a written Authorization Letter as per specified Form in tender from Partner/Director of Bidding firm/ consulting company if the signatory is other than Partner/Director. b) Bidder shall not be under liquidation, court receivership or similar proceedings. c) Bidding documents shall at all times remain the exclusive property of the CCI. d) Bidder may note that Bid shall be submitted on the basis of “ZERO DEVIATION” and shall be in full compliance to the requirements of Bidding Document, failing which bid shall be considered as nonresponsive and may be liable for rejection. e) CCI shall not be responsible for any expense incurred by bidders in connection with the preparation and delivery of their bids, site visit, 5

participating in the discussion and other expenses incurred during the bidding process. f) CCI reserves the right to accept or reject any Bid and to annul the Bidding process and reject all Bids at any time prior to award of contract without assigning any reason whatsoever, without thereby incurring any liability to the affected Bidder or Bidders or without any obligation to inform the affected Bidder or Bidders of the grounds or the reasons for the said action. However, bidder may ask the reasons of these actions. i) The Bidder shall quote in Indian Rupees. j) The Bidder is expected to examine the Bidding Document, including all instructions, forms, terms and specifications in the Bidding Document. Failure to furnish all information required as per the Bidding Document may result in the rejection of the Bid. k) Clarification, if any, in respect of this tender can be obtained from General Manager (Fin-Taxation), mail: [email protected]. The responses to Bidder’s queries/ clarifications raised will be furnished as expeditiously as possible. Any modification of the Bidding Document, which may become necessary as a result of the Bidders query, shall be uploaded in the above mentioned websites through the issue of an Addendum/ Amendment. 5. Appointment Tenure The engagement of Chartered Accountant Firm is for financial year 2017-18 till successful filing of first Annual GST return of all of its Branches and Head office. The Corporation also reserves its right to cancel the engagement if the performance is not found satisfactory. However, the Corporation keeps the right to extend the tenure further for one more financial year i.e. 2018-19 at mutually agreed professional fees. 6. Bid Submission The eligible Chartered Accountant Firm, may submit their Bid in two bid system (sealed) as per Technical Bid i.e. Annexure – I and Annexure –II along with all documentary supports for eligibility criteria and their Financial Bid as per Annexure-III, in the Tender Box situated at 4th Floor, The Cotton Corporation of India Ltd., Kapas Bhavan, Plot No. 3A, Sector- 10, CBD Belapur, Navi Mumbai- 400 614 to the General Manager (Fin), on or before 12.06.2017, 3.00 P.M. Sealed Tender documents may be submitted as under: Envelope A– (Technical bid-I with all enclosures and EMD), Envelope B - (Financial bid-II) Envelope C: Envelope“C” should contain both Envelope “A” & Envelope“B” 6

Each envelope be subscribed as “Tender for engagement of Chartered Accountants Firm for the purpose of Implementation of Goods and Service Tax (GST)” and should bear the full address of tenderer at left side bottom of the envelope. This tender document consists of total 3 Documents (Annexure I, II & III). The offers received late or after the prescribed due date and time will not be entertained. CCIL will not be responsible for any postal delay. On receipt of Bid along with the Technical and Financial Bid, the same will be evaluated by the Committee for eligibility criteria, thereafter, Financial Bid of eligible firms will be opened on same day i.e. 12.06.2017 at 3.30 p.m.
