All Members & Participants, Electronic Book Mechanism for Issuance of Debt Securities on Private Placement Basis SEBI vide circular no CIR/IMD/DF1/48/2016 dated April 21, 2016, provided guidelines on electronic book mechanism for issuance of debt securities on private placement basis. A copy of the aforesaid SEBI Circular is enclosed for reference. From July 01, 2016, electronic book mechanism will be mandatory for all private placements of debt securities with an issue size of Rs.500 crores and above, inclusive of green shoe option if any. National Stock Exchange of India Ltd (Exchange) shall act as an Electronic Book Provider (EBP) to facilitate electronic book mechanism for issuance of debt securities on private placement basis. In order to access the platform, the users will need to execute an agreement/undertaking as may be applicable. A detailed circular containing the guidelines in accordance with the aforesaid SEBI Circular, shall be issued shortly.
