Phone: 01924720723. ...... Second Party/Tenant I start writing the statement of this Deed of Shop Rental Agreement in the Name of the all graceful and all kind Lord of the Universes. The second party clearly expressing his intention to the first party to have on rent the shop/shops described in the schedule below (Level-a, Block-A, Shop No-41/55, Area-353 square feet) under the 1st Party, the first party presents the following conditions to the second party and the second party agreeing on all the conditions set by the first party having been agreed to rent the said shop/shops for operating business as per the level and block, this deed is executed on proper non-judicial stamp before the presence at the place on this day under conditions below, of which the main copy will be kept with the first party while the photocopy will be kept with the second party. "CONDITIONS" 01. The scheduled shop will remain under this rental agreement for 03 (three) years in total from the current 01/01/2014 to the 31st December of 2016. 02. Tk. 80,000/- (Eighty Thousand) is set as monthly rent against the shop scheduled below which will come to effect from 01/01/2014 and the second party will submit VAT to the government treasury at a rate fixed by the government against monthly rent. 03. The second party will pay monthly utility charge to the Bashundhara City Authority whichever applies for the the total area of the shop described in the schedule at a rate of 30 taka per square feet as stipulated by Bashundhara City Authority and it will come to effect from 01/01/2014. The charge will have to be paid at newly fixed rate if afterwards there is any increase in the utility charge (as applicable for all shops) by authoritative decision. Page Continued-02

The second party will pay Tk. 20,00,000/- (Twenty lakh) to the first as security against the scheduled shop which will be deposited with the 1st party till the duration of the term and at the end of the term or in case of the agreement being cancelled for any reason the 1st party will remain bound to refund the whole amount of security money to the 2nd party provided the 1st party don't have any credit with the second party. 05. The 2nd party will pay out all the rent to the 1st party by crossed bank cheque by 10th of each month and the 1st party will remain bound to give proper receipt to the 2nd party. 06. If the second party intends to renew the agreement again at the end of this term, he can renew it by discussion with and consent by the 1st party prior 03 (three) months before the term of agreement ends. 07. The 2nd party will regularly pay the electricity bill, telephone bill, VAT and all other government bills for the shop through competent authority and the photocopies of the paid bills will be preserved by the second party and the main copy will be submitted to the 1st party. 08. The 2nd party tenant cannot sub-let the rented shop/shops anyway. If sub-let is assumed, the 1st party can take steps to overturn the second party (tenant) / can cancel the executed deed of agreement instantly. 09. Provided no breach of any condition of this deed of agreement, none of the parties can serve notice for leaving the shop before the half of the term in this agreement passes. If any of the parties wants to serve notice to the other party to leave the shop before the passes of half time of the term for any due reasons, the notice serving will remain bound to compensate in cash for damages to the other party as decided by discussion. (For the sale of the shop section 24 applies), however, it is noted that when the half time of the terms as conditions in this deed of agreement, the 2nd party can leave the shop by a scope of 03 (three) months time given to the 1st party. Exclusively the 1st party willing to operate business by himself he can serve notice to the 2nd party by a scope of 03 (three) months time given. Any of the parties breaching any of the conditions in this deed of agreement the other party will inform the matter to the BCDL authority and the Shop Owners Association by writing with evidence of breach of condition. If the complain on breach is proven, the party breaching the condition will remain bound to accept the measures described in that condition. 10. To maintain proper quality the 2nd party will have the signage of the shop made and installed by the company as approved by the BCDL authority. Page Continued-03

Page-03 If the 2nd party wants to expand space by further renting any adjacent shop to the scheduled shop and if there is any need to break up the partition wall, the second party can expand space by breaking up wall at his own cost with written permission of the 1st party and the Bashundhara City Authority, however, at the end of the terms of agreement or in case of the sale elsewhere of any shop on rental agreement according to section 24 of this deed of agreement, the 2nd party will remain bound to hand over the same to the 1st party with rebuilding the partition wall/walls at his own cost as per the demand of the 1st party. However, it is noted that by discussion of the buying owner and thereafter agreement and thereafter with approval of Bashundhara City Authority the second party can again take the same on rent. For any damage of the shop/shops due to any fire incident or for any natural disaster, the 1st party or BCDL authority will not remain liable, however, if the fire incident is caused by the carelessness or negligence of the 2nd party and the same is evidenced, the 1st party or BCDL authority can obtain composition for damages from the 2nd party by legal ways. The 2nd party cannot make any construction/repairing work or cannot bring any labour, mechanic, repairer, product, goods etc into the City Mall without prior permission of Bashundhara City Authority. The 2nd party cannot seek any remedy for any subject matter (which in not related to the City Mall) or for any such incident/accident (any incident causing hazard, gathering, or curiosity in public and demands for legal explanation/ witness) that happened beyond the City Mall area by drawing the same into the City Mall to find remedy/resolution for it. If any such incident is found by Bashundhara City Authority the 2nd party will have to bear accountability before Bashundhara City Authority. If the organization of the 2nd party is closed/sealed by the law enforcing agencies for any allegation of lapse in submitting revenue or for operating illegal/unapproved business the 1st party will not render assistance regarding that. Any complexity regarding the partnership of the 2nd party's organization will be considered the internal problem of the partner owners and the persons involved will have to resolute it. For such complexity if the partner owners cause any disorder inside Bashundhara City, that will be considered the breach of order in the City Mall. In such case the 1st party or Bashundhara City Authority can close the organization of the 2nd party until the problem is settled. The 2nd party cannot stay inside the City Mall without permission/approval of Bashundhara City Authority after fixed time of the day. If the presence of the 2nd party inside the City Mall after the fixed time marked, Bashundhara City Authority can take steps to overturn the 2nd party instantly with charge of hampering the security of the City Mall. The 2nd party/tenant can use the rented place only for operating legal business. If the activities/programmes of the 2nd party seems to be hampering the reputation/security of the City Mall to Bashundhara City Authority for due reasons, Bashundhara City Authority can instantly overturn the 2nd party. For any unlawful deed by the 2nd party or by any officer/employee appointed by the 2nd party, i.e any stealing, causing any harm to any object or conducting rough/unfair behaviour with any person by anyone related with the 2nd party is/are undoubtedly proven, the 1st party or Bashundhara City Authority can obtain fine from the 2nd party against the stolen or damaged product/goods. 20. The tenant cannot receive any loan by using/presenting the deed of shop rental agreement against the rented shop, if such thing is done he will be considered as violating the agreement and the 1st party can cancel the deed instantly. 21. The 2nd party (tenant) failing to pay the rent for 03 (three) consecutive months or having any bill due will be considered violating the agreement and the 1st party or Bashundhara City Authority can cancel the executed deed of agreement with the 2nd party. 22. If the 2nd party withdraws his rental right for the shop or it is canceled by the 1st party, notification should be circulated/published in daily newspaper regarding the withdrawal or cancellation of rental right 3 months prior to leaving the right. 23. The second party will operate his business by rendering correct information about the business or service of his organization to the purchasers/customers. To cheat the general consumers by rendering any misinformation or by doing any anti moral fraudulent act will be considered an offence of hampering the reputation of the City Mall. And for any such complain, the 1st party or Bashundhara City Authority will close the 2nd party's organization instantly and simultaneously can cancel the deed of agreement. 24. The 1st party will call on or offer the 2nd party on priority basis to buy the said shop before he sells any of the said shops to any potential purchaser. If there is no proper response received from the 2nd party by due time regarding the purchase of the shop, the 1st party will evidently sell the said shop to any potential purchaser and will demand the 2nd party to vacate the shop on agreement with a prior written notice giving a scope at best of 6 months and the 2nd party will remain bound to vacate and hand over the shop to the 1st party on reconstructing the partition wall/walls, where necessary, as per the condition stated in section 11 of this deed of agreement. 25. All the conditions contained in this deed of agreement shall apply to/comply with the legal heirs/descendant/representatives of both parties. Page Continued-05

At the end of the terms of this deed of agreement, while renting anew the 2nd party will enjoy priority and in such case rent can be increased at best 33% of the present stipulated rent. 27. The second party cannot keep the rented shop close for more than 15 days without notice. If there is any need for keeping the shop close for more than 15 days due to any acceptable reason, the 2nd party must have to inform the 1st party and the BCDL in writing. For any violation here, the 1st party can serve legal notice instantly. In case of the legal notice not drawing any response, the 2nd party will lose the rental right. In such case, the 1st party will occupy the absolute right of the shop as per the prevailing rules and regulations of BCDL. Simultaneously, all the goods will be deposited with the 1st party after adjusting the accounts for the whole goods in the shop through an arbitrary board consisting of BCDL, the 1st party and the Shop Owners Association. At this, no objection by the second party will be granted. If the 2nd party appears after the given time and demands the goods the 2nd party will be eligible for only for the lump sum of the same after other liabilities with the 1st and 2nd party being adjusted as per accounts and if the 1st party has any credit with the 2nd party, the 2nd party will remain bound to compensate for the loss. 28. The 2nd party will always remain bound to observe all the rules and regulations in effect or to be stipulated in future by BCDL regarding the operation of shopping malls. For any violation, the agreement will be considered as cancelled. "The Schedule of the Shop on Rental Agreement" Police Station: Tejgoan, District: Dhaka, Bangladesh. Bashundhara, City, Level-1, Block-A, Shop No41-45, Total area 353 square feet is rented on conditions above under this deed of agreement. We, both the parties solemnly reading and understanding the conditions mentioned above signed our respective names at out won will without instigation by others.
