CONSTITUTION FOR THE NANO AND EMERGING TECHNOLOGIES CLUB AT THE UNIVERSITY OF VIRGINIA

Article I: NAME. The Nano and Emerging Technologies (NExT) Club Article II: PURPOSE. NExT shall raise awareness of current research and potential applications of nano and emerging technologies, build an interdisciplinary community of students interested in technologies of the future, facilitate interaction with faculty and industry, and promote science and engineering innovation

This purpose shall be accomplished through activities that include, but are not limited to, the following1) A technical seminar series 2) An annual student/faculty research mixer 3) Facility tours (university, industry and/ or national laboratories) 4) Networking events with faculty and industry representatives 5) Annual Graduate Student Roundtable dinner. 6) Tours, journal club, or other activities with affiliated high school NextTech Junior Chapters 7) Outreach at local, regional, and/or national levels 8) Community Service Article III: MEMBERSHIP. NExT will not restrict membership within NExT and/or activity within NExT by reason of age, citizenship, color, disability, gender, race, religion, national origin, political affiliation, sexual orientation, or status as a disabled veteran or veteran of the Vietnam era. 1) Regular Membership Regular membership shall be open to all persons capable of advancing NExT’s purpose as stated in Article II, notwithstanding the following restrictions a) Regular Membership within NExT shall be reserved for full time University of Virginia students b) The Executive Committee (made up of the President, Vice President, Secretary and Treasurer) of NExT reserves the right to review all candidates for membership. If the Executive Committee feels that the candidate is incapable of or unwilling to advance NExT’s purpose as stated in Article II, the President, along with 1/2 of the Officers of NExT, may vote to reject said candidate’s proposal for membership. c) Regular Members within NExT shall be expected to pay an annual membership fee. This fee shall be of equal amount for all members of NExT. This fee shall be proposed by the President and approved by 2/3 of the Officers of NExT. 2) Honorary Membership A candidate must meet the following requirements if they are to be granted Honorary Membership a) The candidate must be capable of and willing to advance the purpose of NExT as stated in Article II. b) The candidate must be unable to meet the requirements for Regular Membership stated in Article III, Section 1. c) The candidate, if not a full time student, must be a part-time student, alumni, or have some other affiliation with the university. The Officers shall determine the validity of the affiliation.

d) The candidate’s proposal for Honorary Membership must be approved by the President and 2/3 of the Officers of NExT. Article IV: OFFICERS. 1) The President The duties of the President shall include, but shall not be limited to, the following a) Setting yearly goals for the club b) Presiding over the meetings of NExT c) Representing NExT at University and SEAS club leadership activities d) Serving as Liaison with Student Council e) Meeting with Advisory Board f) Promoting NExT and recruiting members g) Reviewing candidates for regular membership and honorary membership h) Creating and dissolving all committees, subject to the approval of the Executive Committee i) Submitting an annual overview of chapter activities, committees, and areas to improve j) Assuming all other general executive duties not otherwise delegated k) Delegating duties not stated in Article IV to appropriate Officers within NExT 2) The Vice President The duties of the Vice-President shall include, but are not limited to, the following a) Advising the President b) Presiding over the meetings of NExT in the absence of the President c) Assuming all duties of the President if the office of the President becomes vacant d) Serving as ex officio member of all committees 3) Secretary The duties of the Secretary shall include, but are not limited to, the following a) Keeping a record of all activities of NExT and reporting this record to the President within a reasonable time after each meeting b) Keeping a record of the names of members in attendance at the meetings c) Maintaining statistics on members and attendees at every event regarding major, year, gender, and ethnicity. (see federal guidelines of underrepresented groups) d) Maintaining and providing (when necessary) all other communications necessary to the activities of NExT 4) Treasurer The duties of the Treasurer shall include, but are not limited to, the following a) Collecting the Membership fees b) Paying all debts of NExT as authorized by the President c) Keeping an exact account of all receipts and expenditures d) Creating, executing, communicating, and planning the Budget e) Submitting a complete annual budget report at the last regular meeting of the year to the Secretary and the President Article V: ADVISORY BOARD The Advisory Board shall provide advice to the President and other Officers of NExT and facilitate connections and opportunities with the professional community to members of NExT as appropriate. The Advisory Board will consist of: 1) The NExT Faculty Advisor 2) NExT Alumni and former Officers 3) Industry representatives or others with relevant experience that will benefit the operation of NExT.

The Chair will be selected by majority vote of existing board members. The Advisory Board will have no less than three and no more than twelve members. Applications for membership will be reviewed by the NExT Faculty Advisor and the Chair. A member may be removed from the board by 1) A unanimous approval by all other members of the Advisory Board or 2) A majority approval of the board members and unanimous approval by the Officers of NExT The Advisory Board shall meet with the President at least once a semester. Article VI: ELECTIONS Elections shall be held no later than the last meeting of the Spring semester of each year and by April 15th, at a date deemed appropriate by the President. Retiring officers will be expected to guide their replacements through the end of the Spring semester to ensure a smooth transition. The term of office for all Officers shall be one year. The President and Vice-President, Secretary, and Treasurer will be elected by a majority vote of present. Only Regular Members within NExT may be elected for or appointed to Office. Only Regular Members within NExT may vote. Article VII: REMOVAL OF OFFICERS AND THE APPOINTMENT OF OFFICERS IN THE CASE OF VACANCIES An Officer may be removed if he or she is negligent in their duties or if he or she has behaved in a way counterproductive to the accomplishment of NExT’s purpose as stated in Article II or damage its reputation. An Officer may be removed either by 3) A unanimous approval by all other officers of NExT or 4) A 3/4 approval of all members of NExT If the Office of the President becomes vacant, the Vice President shall become President and he or she shall appoint a new Vice-President. If the offices of both the President and the Vice President become vacant, new elections shall be held to fill these offices according to the rules stipulated in Article V. If any other office becomes vacant, that office shall be filled by a candidate appointed by the President. Article VI: COMMITTEES. The following Standing Committees or their equivalent shall be appointed by the President: 1) Executive Committee 2) Web/Social Media Committee 3) Program Committee 4) Publicity Committee 5) Fundraising Committee 6) Alumni Relations Committee 7) Business Relations Committee 8) Outreach Committee

The Executive Committee will consist of the President, Vice President, Secretary, and the Treasurer. The Executive Committee shall preside over all executive matters of NExT. The Web/Social Media Committee shall keep NExT website up to date and utilize current technology to improve outside interaction with the group. The Program Committee shall plan events and programs with the approval of the Executive Committee, and shall be responsible for all arrangements of these activities, and shall work with the Publicity Committee to advertise and promote the events. The Publicity Committee shall be responsible for proper advertisement of each meeting and other events. The Fundraising Committee shall be responsible, with the approval of the Executive Committee, for defining and administering fundraising events and securing sponsors, for NExT activities. The Fundraising Committee shall work with the Business and Alumni Relations Committees as appropriate. The Alumni Relations Committee shall engage former NExT members to keep them informed regarding NExT events and promote opportunities for current members. The Business Relations Committee shall reach out to industry under the supervision of the Executive Committee, to seek sponsorships, speakers, and promote internship and employment opportunities for members of NExT. The Outreach Committee shall organize activities to promote science, engineering, and technology to students of all ages, teachers, and the general public. The Outreach Committee is also responsible for close interaction with NextTech Junior Chapters in local high schools. In addition to the above standing committees, the President may appoint other committees which he/she may deem necessary. Any member of NExT, as well as any Officer of NExT, is eligible for appointment to the above mentioned committees. Honorary members, alumni, and advisory board members may participate in committee activities but may not be committee chairs Article VIII: MEETINGS. NExT shall hold regular and special meetings at such places and time as designated by the Executive Committee and approved by the President, with a minimum of three meetings a year and a minimum of one meeting each semester. Article IX: FINANCE. Costs deemed necessary by the President to accomplish NExT’s Purpose as stated in Article II, shall be paid with the revenue gained from membership fees and fundraising efforts organized by NExT. Fundraising efforts and grants may be pursued to reduce student membership dues and finance NExT 's activities. Expenditures will be decided on by the President in collaboration with the Treasurer. Expenditures of all funds must be made in non-discriminatory fashion.

Article IX. AMENDMENTS AND BY-LAWS. NExT is empowered to adopt Bylaws which are consistent with this Constitution. A Bylaw may go into effect either by 1) A unanimous approval by all Officers of NExT or 2) A 2/3 approval of all officers of NExT and a majority vote by all present and voting members of NExT This Constitution may be amended provided that the amendment was proposed at least one duly publicized meeting previous to the time of voting. It may be amended either by 1) A unanimous approval from all Officers of NExT along with a majority vote of all members of NExT present and voting or 2) A 4/5 approval of all members of NExT present and voting

This Constitution shall go into effect September 12, 2012.
