BYLAWS I. RULES Robert's Rules of Order, Latest Edition shall be the authority on all questions of procedure not specifically stated in this Constitution and Bylaws. II. MEETINGS A. General membership meetings shall be called by the President or the Executive Council [Committee] as needed; however, there shall be at least two (2) general membership meetings each year. At least seven (7) days notice is required specifying [change to specify the (clarifies meaning)] date, time, place and purpose of such meetings. B. The Executive council [Committee] shall meet regularly during the year. After establishment of a calendar, the membership shall be notified of dates, times and places of meetings. C. In case of a legislative emergency or other special issue, a meeting may be called with minimal notice. III. QUORUM Those present at a duly called general Executive Council [Committee] meeting of the Chapter shall constitute a quorum, provided that a majority of the members are present. IV. DUTIES OF OFFICERS. A.

PRESIDENT. Presides over meetings, appoints members of committees subject to approval of the Executive Council [Committee], is an ex-officio member of all committees except nominations and elections committees, represents the Chapter before the public, is executive officer of the Chapter, submits annual budget for consideration, is a representative to the ISTA- Retired annual liaison meeting [delete this phrase as such a meeting no longer takes place], and performs all other functions attributed to this office.

B.

VICE-PRESIDENT. Presides in the President's absence and performs duties as assigned by the President.

C.

SECRETARY. Keeps accurate minutes of all meetings of the Chapter and Executive Council [Committee], maintains official files and assists the President with Chapter correspondence.

D.

TREASURER. Deposits funds of the Chapter and disburses them according to decisions of the Executive Council [Committee], maintains roll of members, keeps accurate accounts of receipts and expenditures, reports to each meeting of the chapter and Executive Council [Committee], remits appropriate ISTA-Retired and NEA-Retired dues to ISTA-Retired in a timely manner, prepares an annual financial statement for membership, assists in drafting the annual budget. The treasurer shall be bonded through ISTA and the Chapter shall provide an annual audit of the books.

Secretary duties may be combined with the Treasurer duties.

F.

Representatives to local district council and state council. Represent the Chapter at regularly scheduled meetings and report activities of the local chapter as well as report back to the Chapter any business transacted and information received at such meetings. [This needs to be added to bylaws in keeping with current practice.]

G.

Alternates for the representatives. At the request of the representatives, serve in the capacity of the representatives as listed in Letter F above. [This needs to be added to bylaws in keeping with new requirements. ]

V. POWERS OF THE EXECTIVE COUNCIL A. Upon the Executive Council [Committee] shall rests the duties, responsibilities, and authority for conduct of the Chapter in all matters except as provided in this Constitution and Bylaws. B. The Executive Council [Committee] may at any time refer matters to the general membership for consideration. VI. NOMINATIONS AND ELECTIONS A. The President shall appoint an Elections Committee which shall establish election procedures which guarantee that all elections shall provide for open nominations, secret ballot voting procedures and preservation of ballots for at least one (1) year. B. The Executive Council shall certify the Elections Committee report and publish results of the election. C. Election of officers shall be conducted no earlier than April 1 nor later that May 15 of each election year. [Add the following sentence: In addition, alternates for the representatives to the local council and state council will be elected at this time. (This will provide continuous representation at these meetings.) D. All officers must be elected at-large by the membership. E. Ethic minorities and all membership categories shall be represented in proportion to the membership and where possible will be appointed by the President if not elected. VII. VACANCIES A. A vacancy in the position of President shall be filled by the Vice President Until [change Until to until] a general election is held and a new President is elected. 2

B. A vacancy in the position of Vice President, Secretary or [change to a comma] Treasurer [add a comma and the words representatives to the local district council and state council and their alternates] shall be filled by appointment by the President with the approval of the Executive Council until an election can be held if more than on year remains in the term. VIII. DUES A. Dues of the Chapter shall be determined by the Executive Council [Committee]. B. Any ISTA-Retired/NEA-Retired dues shall be transmitted to ISTA-Retired forthwith upon receipt and in accordance with any applicable provisions of the ISTA or NEA Bylaws and Administrative Policies. IX. STANDING RULES SECTION 1. Seek to establish a mutual workable relationship with active school personnel of the area. SECTION 2. Send to meetings and workshops informed representatives who can express the opinions of the group. SECTION 3. Consider making use of state and national officers as resource people in planning programs. SECTION 4. Inform the ISTA-Retired office of newly elected officers and other significant actions. SECTION 5. Inform the state communications vehicles (the Advocate and the ISTA-Retired Newsletter [Change to The Chalkboard (this is the name of our state newsletter) of Chapter activities. SECTION 6. Encourage all members to participate actively in Chapter and Association programs. SECTION 7. Each officer and committee chairperson is to submit an annul report to the President by the first of June. [Delete this item as our organization is so small that such reports are unnecessary.] X. RIGHTS AND PRIVILEGES OF MEMBERS OF THE CHAPTER SECTION 1. All members shall receive information regarding chapter activities from the Executive Council. SECTION 2. Any member may attend an Executive Council meeting. SECTION 3. Every member shall receive a directory. 3
