MTGOX 破産手続の支援企業決定のお知らせ 2014 年 11 月 26 日 関係者各位 破産者 株式会社 MTGOX 破産管財人 弁護士 小 林 信 明 当職は、株式会社 MTGOX（以下「MTGOX」といいます。）の破産手続（以下「本件破 産手続」といいます。 ）の支援企業を、Payward Japan 株式会社（以下、そのグループ企業 も含め「Payward」といいます。 ）に決定しました。今後、各方面にて MTGOX を支援する Payward とともに、当職は、本件破産手続が適切に遂行されるよう引き続き努力する所存 です。 Payward は、MTGOX の事業を承継するわけではなく、支援企業として本件破産手続の 支援及び MTGOX の一部資産の購入等を行います。 以下、支援企業決定に関する基本的な質問とその回答を掲載します。 記 Ｑ１

支援企業を選定する理由は何か。

破産管財人は、MTGOX の資産負債・ビットコイン消失の有無・経緯の調査、債

権届出のシステムの構築、破産配当の方法（ビットコインによる配当の可否）等につ いて、各種専門家の協力を受けて業務を進めています。そして、破産管財人は、これ ら業務を進める上で、ビットコイン交換所事業やビットコイン取引に精通する企業の 支援を受けることが、本件破産手続を円滑に進め、破産債権者の利益を保護するため に、極めて有益だと考えております。そこで、破産管財人は、本件破産手続開始後、 複数の企業を候補として、公正中立かつ慎重にこのような支援業務に適する企業の選 別を行ってきましたが、経済条件（金銭対価及びその他の対価） 、取引実行の確実性、 同種事業の経験及び信頼性等も含めた総合判断により、候補企業のうちで Payward が 最も適すると考えられたため、同社を支援企業と決定することと致しました。 Ｑ２

支援企業に就任した Payward とは、どのような企業か。

取引所 Kraken（https://www.kraken.com/）を運営している会社です。 Payward は 米国の ビ ッ ト コ イ ン の 事 業者 団 体 で あ る Digital Asset Transfer Authority（DATA）の創立メンバー/議決権メンバーであり、自民党 IT 戦略特命員会 資金決済小委員会の 2014 年 6 月 19 日付中間報告に従い設立された日本のビットコイ ン事業者の自主規制団体である一般社団法人日本価値記録事業者協会（JADA）の創立 メンバー/理事です。また経済・金融情報サービス会社 Bloomberg L.P.におけるビット コイン価格に Kraken のデータが採用されるなど、Payward 及び Kraken は、セキュ リティ及びコンプライアンス等において高い評価を受けております。 詳細については、同社ホームページ（https://www.kraken.com/about/payward）を ご覧ください。 Ｑ３ Payward が MTGOX の支援企業に就任した目的は何か。 Ａ３ Payward は、同社がその専門性を活かして破産財団に支援を行うことにより、日 本及び全世界においてビットコインへの信頼性が確保され、かつ、ビットコイン市場 が健全に発展することを期待し、本件破産手続の支援等を行うことを決定したとのこ とです。 なお、同社は世界有数のビットコイン取引所であり、ビットコイン市場の健全な発 展が同社の利益に直結するものと考えているとのことです。 Ｑ４

Payward が支援企業に決まったのはいつか。

2014 年 11 月 25 日付にて東京地方裁判所の許可を得、同年 11 月 26 日に、 MTGOX

は、Payward との間で「破産手続の支援等に関する契約」を締結しました。 Ｑ５ Payward の支援によって、MTGOX 取引所は再開するのか。 Ａ５

MTGOX 取引所を再開する予定はございません。Payward は、既に Kraken を運

営しており、MTGOX の事業を承継するわけではありません。Payward は、以下の QA に記載されるように、本件破産手続が円滑に進行し、債権者の利益が保護されるよ う、本件破産手続上の各業務を支援します。 Ｑ６ Payward は今後どのように MTGOX を支援するのか。 Ａ６ Payward の MTGOX に対する支援の主な内容としては、①消失した可能性がある と言われているビットコインの調査に関する協力、②債権届出・調査に関する協力、 ③配当に関する協力等になります（①及び②の協力はあわせて 500 時間の作業まで無 償となります。③の協力は無償となります。）。また、これとあわせ、MTGOX の保有 する機器（保存されたデータ及びソフトウェアを全て抹消し、初期化したもの)を購入 します。 2

消失したといわれているビットコインの調査に関する協力とは、具体的にはどの

ようなことを行うのか。 MTGOX 取引所のデータ解析、並びに破産管財人及びその協力者に対する調査方

債権届出は、破産債権者にとって債権届出の負担が少なくなるよう、書面による

届出に限らず、インターネット上での届出も認めることを検討しておりますが、その ためのシステムの開発に関して、その構築、使用、維持及び改善等に関する提案及び 助言等を予定しています。 Ｑ９ 配当に関する協力とは、具体的にはどのようなことを行うのか。 Kraken に口座を開設する債権者に対し、Kraken のシステムを利用してビットコ

イン及び金銭による配当をすること（もっとも、ビットコインによる配当をするかは 決定されておりません。 ）等を検討しております。その他、ビットコイン及び金銭配当 に関する各国法規制に関する助言等が挙げられます。 Ｑ１０ ビットコインによる配当を受けるためには、Kraken に口座を開設しなければな らないのか。 Ａ１０

ビットコインによる配当を行うかは決まっておりませんが、仮にビットコイン

による配当を行う場合、現時点では、配当に支障をきたす事情が生じない限り Kraken の取引所システムを利用することを考えており、Kraken の取引所システムを利用する 場合には、ビットコインによる配当を受けるためには Kraken における口座開設が必要 となると思われます。破産配当に関しては、方針が決定しましたら、別途破産管財人 主催のウェブサイト（https://www.mtgox.com/）で公開します。 Ｑ１１

[Translation] Announcement of Determination of Supporting Company for MtGox Bankruptcy Proceedings November 26, 2014 Bankrupt entity: MtGox Co., Ltd. Bankruptcy trustee: Nobuaki Kobayashi, Attorney-at-law We hereby inform you that Payward Japan K.K (hereinafter, together with its group companies, referred to as “Payward”) has been selected as the supporting company for the bankruptcy Proceedings concerning MtGox Co., Ltd. (hereinafter referred to as “MtGox”) (hereinafter referred to as the “Bankruptcy Proceedings”). Together with Payward, which will support MtGox in various aspects, we will continue to ensure that the Bankruptcy Proceedings will be conducted in an appropriate manner. Payward will not succeed MtGox’s operation. Payward will support the Bankruptcy Proceedings and purchase part of MtGox’s asset, etc. as the supporting company. Please find below our responses to basic questions concerning the determination of the supporting company.

Q１ On what ground was the supporting company selected? A１ The bankruptcy trustee, with the cooperation of various professionals, has been conducting his businesses with respect to the following: (i) the investigation on MtGox’s assets/liabilities, (ii) the investigation of whether or not bitcoins were lost, and if they were, the circumstances by which they were lost, (iii) the establishment of a system for filing proof of claims, and (iv) the determination of an appropriate method for bankruptcy distribution (including whether or not it is permissible to make bankruptcy distributions in bitcoins). The bankruptcy trustee believes that it is very helpful for conducting the Bankruptcy Proceedings smoothly and for protecting the interests of the bankruptcy creditors to obtain support from a company with expertise in operating a bitcoin exchange business and managing bitcoin transactions. Since the commencement of the Bankruptcy Proceedings, the bankruptcy trustee has conducted a process for selecting a company suitable for such support from among multiple candidate companies in a fair, independent and 1

careful manner. Taking into consideration various factors, including consideration (monetary consideration and other forms of considerations), certainty to consummate the transaction, expertise in the same business and credibility in the market, the bankruptcy trustee decided Payward as the supporting company because it was considered to be the most suitable company among the candidates. What is the outline of the supporting company Payward? Payward Inc. (CEO and Co-founder: Jesse Powell), the parent company that wholly owns Payward Japan K.K., is a corporation established on July 28, 2011 in the state of Delaware, with the head office located in San Francisco. It has offices in the United States, Canada, the United Kingdom, the Netherlands, Singapore and Japan, and operates the bitcoin exchange, Kraken, with users from around the world being its clients. Payward is a founding and voting member of the Digital Asset Transfer Authority (DATA), an organization of bitcoin operators in the United States, and a founding member/director of the Japan Authority of Digital Assets (JADA), the self-regulatory organization for bitcoin operators in Japan that was established in compliance with the intermediary report (dated June 19, 2014) of the Liberal Democratic Party’s IT strategy task force. Moreover, Payward and Kraken are highly reputed for their security and compliance which are demonstrated by, among other things, the fact that the data from Kraken is adopted as the reference bitcoin price by Bloomberg L.P., the economic and financial information service company. What are the purposes of Payward to accept the appointment as the supporting company for MtGox?

According to Payward, it has decided to support the Bankruptcy Proceedings in the expectation that, by supporting the bankruptcy proceedings through the utilization of Payward’s expertise, the credibility of bitcoins in Japan and in the world will be secured and the bitcoin market will be developed soundly. In addition, as one of the top-ranked bitcoin exchanges in the world, Payward believes sound development of the bitcoin market is directly linked to the interest 2

of Payward itself. Q４ When was the selection of Payward determined? A４ After obtaining the approval of the Tokyo District Court on November 25, 2014, MtGox and Payward entered into the “Agreement Concerning Support, etc. of Bankruptcy Proceedings” on November 26, 2014. Q５ A５

Would MtGox exchange resume its operation with Payward’s support? There is no plan to resume the MtGox exchange. Payward is already operating Kraken, and it will not succeed the operation of MtGox. Payward, as stated in the Q&A below, will support various aspects of the Bankruptcy Proceedings, in order to ensure the Bankruptcy Proceedings to progress smoothly and to protect the interests of the bankruptcy creditors.

How will Payward support MtGox from here on? Pursuant to its agreement, Payward’s support for the bankruptcy proceedings of MtGox will entail, among other things, (i) cooperation concerning the investigation of the bitcoins which are said to have been possibly lost; (ii) cooperation concerning the filing of claims and investigation related thereto; and (iii) cooperation concerning bankruptcy distributions (items (i) and (ii) will be provided without charge up to 500 hours in total, and item (iii) will be provided without charge). In addition, Payward will purchase MtGox’s equipments (formatted after deleting all the saved data and software).

What specifically is meant by cooperation with the investigation on the bitcoins which are said to have been lost?

Among other things, such cooperation will include analyzing the data of the MtGox exchange and providing suggestions and advice to the bankruptcy trustee and the team working with him regarding the manner of investigation.

What specifically is meant by cooperation concerning the filing of claims and investigation related thereto?

The bankruptcy trustee is considering online filing of proof of claims, instead of paper filing, in order to alleviate the work of the bankruptcy creditors in filing their claims. In order to develop the system, we are planning to seek from Payward advice concerning the setting up, use, maintenance and improvement of such 3

system. Q９ What specifically is meant by cooperation concerning bankruptcy distribution? A ９ We are considering, among other possible methods, making bankruptcy distributions in cash and/or in bitcoins, using Kraken’s system, to the bankruptcy creditors who have their accounts at Kraken (although it is not decided whether or not distribution will be made in bitcoins). In addition, the cooperation will include advice, etc. concerning laws and regulations of other countries regarding bankruptcy distributions in cash and in bitcoins. Q１０ Is it necessary to open an account at Kraken in order to receive bankruptcy distributions in bitcoins? A１０ It has not been decided whether or not the bankruptcy distributions will be made in bitcoins. If it should be decided that bankruptcy distributions will be made in bitcoins, we are considering, at this time, to use the Kraken exchange system, so long as it does not interfere with the bankruptcy distribution. If that is the case, it would be necessary to open an account at Kraken in order to receive bankruptcy distributions in bitcoins. When the details of bankruptcy distribution are decided, it will be separately announced on the bankruptcy trustee’s Website (https://www.mtgox.com/). Q１１ A１１

How much is the amount received from Payward? It is JPY 30 million (not including consumption tax).

Q１２ Why was Payward selected as the sponsor company? A１２ The bankruptcy trustee decided that Payward is the most suitable supporting company, after comprehensively taking into consideration various factors, including: (i) consideration (monetary consideration and other forms of considerations) and certainty to consummate the transaction, (ii) whether or not the candidate operates a bitcoin exchange business and its credibility in the market, (iii) whether or not it is feasible for the candidate to cooperate with the investigation of the allegedly “lost” bitcoins, and (iv) whether or not it is practicable for the candidate to cooperate with making the bankruptcy distributions in the form of bitcoins (if bankruptcy distributions in bitcoins are made). Would the bitcoins and cash possessed by MtGox be transferred to Payward? 4

A１３ The bitcoins and cash possessed by MtGox will be held and managed by the bankruptcy trustee as before, and will be assets available for bankruptcy distribution to the creditors. Q１４ What are the assets that will be transferred to Payward from the assets held by MtGox? A１４ MtGox’s servers and PCs (formatted after deleting all the saved data and software) will be handed over to Payward. All of those assets are located in Japan. Copies of the data (including personal information) and software stored on the server, etc. will remain with and managed by the bankruptcy trustee and used for purposes of examination, administration of properties, and bankruptcy distribution.
