3. ORDINANCES AND DIRECTIVES OF THE CHURCH A. ORDINANCES AND DIRECTIVES OF THE CHURCH Ordinances: This Church shall have two ordinances: Baptism and The Lord’s Supper 1. Baptism: This Church shall receive for baptism any person who has received Jesus Christ as Savior by personal faith, who professes Him publicly at any worship service, and who indicates a commitment to follow Christ as Lord. The Pastor, or whomsoever the Church shall authorize, shall administer baptism. Baptism shall be administered as an act of worship during any worship service of the Church. 2. The Lord’s Supper: The Church shall observe the The Lord’s Supper as frequently as shall be decided by the Deacons, but in no event shall the frequency be less than quarterly. The Deacons will decide at which church service this observance will be held. The Pastor and Deacons shall administer The Lord’s Supper. The Lord’s Supper Committee shall be

responsible for the physical preparations. Just prior to, or at the beginning of, the Ordinance of The Lord’s Supper, the Pastor (or such other person conducting the service) will announce to the congregation that the policy of this Church is that we practice “open communion”; that is, all who profess to be Christians are invited to partake. B. DIRECTIVES Marriage: Marriage is a biblical institution established by God as described by His Holy Revealed Word. Accordingly, we believe a biblical marriage shall only be between one man and one woman. Uniting the two in Covenant Commitment for a lifetime. Accordingly, this Church, its Pastors and staff will not participate in same-sex unions or same-sex marriages on its property (real estate or physical).

6. MEETINGS OF THE CHURCH

A.

REGULAR BUSINESS MEETING: Unless the Pastor, Chairman of the Deacons, Head of the Church Council, and the Moderator agree that no meeting is necessary, the Church shall hold regular Quarterly Business Meetings the third Sunday evening in January, April, July and October with the meeting in October being the Annual Business Meeting. PROVIDED HOWEVER, should the Pastor, the Chairman of the Deacons, Head of the Church Council, and the Church Moderator all agree that the business to be transacted is so brief and routine that it is not necessary to have a separate meeting. The Business Meeting may be conducted at the conclusion of the first Sunday morning Worship Service.

B.

SPECIAL BUSINESS MEETINGS: In addition to the Regular Quarterly Business Meetings stated above, Special Business Meetings may be called to consider matters that should be acted on prior to the next regularly scheduled Quarterly Business Meeting. Special Business Meetings shall be held if called for by the Chairman of the Deacons, Head of the Church Council, Church Moderator, and the Pastor: or by 25%of the resident membership of the Church as signified by their signing of a petition call for a “Special Business Meeting”.

NOTICE OF MEETING REQUIRED: Notice of Quarterly Business Meetings shall be communicated to each Church member no earlier than thirty (30) calendar days but later than ten (10) calendar days, prior to the scheduled Business Meeting. Notice of a Special Business Meeting of the Church shall likewise be communicated to all Church members and said communication shall specify the subjects, time, and

place of the meeting. All Committees or persons bringing items to the Quarterly Business Meeting for vote, must ensure those items are made available to the Church members at least ten (10) calendar days, and no more than thirty (30) calendar days prior to the scheduled meeting. Unannounced items arising for vote at the Quarterly Business Meeting will be captured and presented to the Church, in writing, and voted on at a special Business Meeting.

7. OFFICES AND STAFF POSITIONS OF THE CHURCH The Officers and Staff Positions of the Church shall be: Clerk, Deacon, Media Library Director, Moderator, Choral Director, Lead Accompanist, Pianist, Pastor, Associate Pastor(s), Historian, Secretary, Assistant Secretary, Sunday School Director, Assistant Sunday School Director, Financial Secretary, Assistant Financial Secretary, Trustees, Women’s Missionary Union Director and Messenger’s to the Blackwater Baptist Association. The Church may refuse to hire as an employee, or appoint as an Officer of the Church, anyone who has not declared Jesus Christ as their personal Savior, refuses to up-hold the Mission Statement of the Church, and/or live in accordance with these By-Laws.

CHURCH CHORAL DIRECTOR: The Church Choral Director is responsible for assisting the Church in planning, conducting and evaluating a comprehensive music ministry. The Church Choral Director shall work under the direction of, and be responsible to, the Senior Pastor. The Church Choral Director shall be hired by the Personnel Committee; serve as a continuing member of the Music and Drama Committee; and shall be a salaried employee. The Church Choral Director shall not serve as Chairperson of the Music and Drama Committee. LEAD ACCOMPANIST/ACCOMPANIST: The Church Lead Accompanist and Accompanist are responsible for working with the Church Staff to make the music of our Church an experience of worship for all. These persons shall be voting, continuing members of the Music and Drama Committee, hired by the Personnel Committee, and shall be salaried employees. The Church Lead Accompanist/Accompanist shall work under the direction of, and be responsible to, the Church Choral Director and the Senior Pastor. The Choral Director shall perform annual performance evaluations for both the Lead Accompanist and the Accompanist.

*ASSOCIATE PASTOR FOR YOUTH AND CHILDREN: The Associate Pastor for Youth and Children shall: plan and carry out an invigorating Youth Program; articulate a clear sense of purpose and direction for the youth and children’s programs; minister and counsel our youth and children as necessary; focus on outreach to the youth in the community and perform visitation of the Youth and

Children of the Church and their families; provide help in the training of youth volunteers; be an effective teacher by regularly teaching middle school and high school Sunday School classes; and participate and lead Bible studies on a regular basis. The Associate Pastor for Youth and Children shall also provide leadership in administrative and pastoral duties as the Pastor may require. The Pastor and Chairperson of the Personnel Committee shall jointly perform the annual performance evaluation of the Associate Pastor for Youth and Children.

D.

STAFF EMPLOYEES (SECRETARY, ASSISTANT SECRETARY, FINANCIAL SECRETARY, ASSISTANT FINANCIAL SECRETARY, ETC.): Staff employees shall be employed as the Church determines the need for such offices. The Church Secretary, Financial Secretary, Assistant Church Secretary and the Assistant Financial Secretary shall be hourly employees. The Church Secretary shall be responsible for keeping a register of names of Church members (including dates when they became members of this Church, dates they ceased being members, and the reason for ceasing to be members) and shall keep a record of all baptisms. The Personnel Committee shall decide when a new staff position is needed, and if so, shall write the job description for such position. Should either the Church or an employee decide to terminate the employment relationship, an respectable notice shall be given, in writing, to the other party. The Staff employees shall be supervised on a day-to-day basis by the Pastor, with supervision to be by the Personnel Committee. E.

SUNDAY SCHOOL DIRECTOR AND ASSISTANT SUNDAY SCHOOL DIRECTOR: The Sunday School Director and Assistant Sunday School Director shall provide general supervision of the Sunday School Program, and shall be elected by the congregation at its Quarterly Business Meeting the third Sunday evening in July each year. It shall be the duty of the Director and Assistant Director to see that the Sunday School Program properly educates Sunday School Students as to Christian teachings. The Director and Assistant Director shall nominate persons to fill the various Officer, Teachers, Vacation Bible School Director(s), and Extended Session positions in the Sunday School Program, with the election of the Officers and Teachers to be made by the congregation at its Quarterly Business Meeting the third Sunday evening in July of each year.

TREASURER/FINANCIAL SECRETARY: (For information concerning the Treasurer/Financial Secretary, see Section ? )

FINANCIAL SECRETARY: The Assistant Financial Secretary shall collect tithes and offerings given during the Sunday worship services, place them in bank deposit bags, and drop them in the night depository at the conclusion of the worship service. The comprehensive insurance policy for the Church shall cover the handling of the tithes and offerings by the Assistant Financial Secretary.

H.

TRUSTEES: There shall be three (3) Trustees of the Church. The Trustees serve as legal officers of the Church. They hold title (in trust) to Church property. They are to see that Church property is adequately insured, and shall be responsible for reviewing, updating as necessary, and maintaining a comprehensive insurance policy for the Church. Further, the Trustees shall be responsible for retaining legal counsel whenever such need arises. When a specific vote of the Church authorizes such action, the Trustees shall have the power to buy, sell, mortgage, lease, or transfer any Church property. When authorized by the congregation, the Trustees are authorized to sign such legal documentation that are required involving any sale, mortgage, purchase or rental of the Church property, or other legal documents related to matters approved by the congregation. All Trustee transactions require a minimum of 2 Trustees signatures. Trustees shall be elected (at any Regular or Special Business Meeting of the congregation) and shall serve for an indefinite term.

I.

WOMEN’S MISSIONARY UNION DIRECTOR: This person shall be elected at the Quarterly Business Meeting of the Church on the third Sunday evening in July of each year. This person shall be in charge of submitting a list of Officers, Committee Chairpersons, Baptist Women’s Director, Acteens’ Director, GA Leaders and Mission Friends’ leaders in advance of the July Business Meeting; see that proper emphasis is made in the Church concerning world-wide missions; and supervise the various mission organizations of the Church which operate under the Women’s Missionary Union.

MESSENGER TO BLACKWATER BAPTIST ASSOCIATION MEETING: At the Quarterly Business Meeting on the third Sunday evening in July of each year, the congregation shall elect at least eight persons to be Messengers to meetings of the Blackwater Baptist Association, designating at least eight as the Primary Messengers and others as the Alternate Messengers. If additional Alternate Messengers are authorized from our Church after the congregation has made its decision at this business meeting, these additional persons shall be selected by the Pastor.

8. CHURCH COUNCIL The Church Council shall serve the Church by leading in planning, coordinating, conducting, and evaluating the ministries and programs of the Church and its organizations. The primary functions of the Church Council shall be to: recommend objectives and Church goals; review and coordinate ministry and program plans recommended to the Church Officers, organizations, and Committees; recommend program priorities; to evaluate achievement of Church Objectives and Goals; and annually review and revise, if necessary, the Procedures Manual for the Church. The Church Council shall be composed of the Pastor, Church Staff members; Directors of Church Program Organizations, (including, but not limited to, Sunday School, Women’s Missionary Union, Media Center, Deacons, Officers of the Church and Chairpersons of all committees). The Vice-Chairman of The Body of the Deacons shall serve as the Head of the Church Council. The Church Council

shall meet on the third Thursday of December, March, June, and September, approximately thirty days prior to the Quarterly Business Meetings. 9.

COMMITTEES OF THE CHURCH

A.

GENERAL INFORMATION ABOUT COMMITTEES: For a more detailed job description and membership requirements, please see the ProceduresManual of the Church. Membership on all committees shall be on a three-year rotational basis, unless noted otherwise. All committees must have a minimum of three voting members. A quorum or simple majority of the committee members must be present before a motion can be presented, seconded, and voted upon.

REGULAR COMMITTEES 1. AUDIO SERVICES COMMITTEE: 2. AUDIT COMMITTEE: 3. BAPTISM COMMITTEE: 4. BENEVOLENCE COMMITTEE: 5. BEREAVEMENT COMMITTEE: After notification by the Senior Pastor or staff that a Church member has gone home to be with our Lord, a member of this committee immediately contacts an immediate family member of the deceased to discuss ways Smithfield Baptist Church can assist the bereaved. Assistance may include but is not limited to; making a home visit, furnishing food and supplies to the bereaved, hosting a meal at the Church following the funeral service, and making follow-up visits to survivors 6. BREAD MINISTRY: 7. BUILDING MAINTENANCE COMMITTEE: 8. BY-LAWS COMMITTEE: The By-Laws Committee shall craft and interpret Church By-Laws, and shall be responsible for updating the By-Laws, as needed, by incorporating additions and modifications approved by the church Membership during Business Meeting. 9. CHILDREN’S COMMITTEE: It shall plan and implement programs for the Benefit of the children of the Church, including interviewing and selecting a summer children’s worker. The Associate Pastor for Youth and Children shall be a voting member, but cannot serve as Chairperson of the Committee. 10. CHURCH TELLERS COMMITTEE: It shall be responsible for counting tithes, offerings, gifts and any other monies received by the Church at the bank and making

the necessary deposits. The deposit information shall be turned into the Church Secretary, who will then turn it over to the Church Financial Secretary. 11.

COMMUNICATIONS COMMITTEE: The Communications Committee shall support the Church Council by communicating Church Council Initiatives and Goals necessary for execution of the Smithfield Baptist Church Mission Statement.

FELLOWSHIP AND FOOD SERVICES COMMITTEE: The Fellowship and Food Services Committee shall recommend, coordinate, and develop programs to enhance the Family Life of Church members. The Committee shall organize and run the Annual Church Picnic, and define, develop, plan, coordinate, promote, and execute recreational activities of the Church Family. The Committee shall be responsible for promoting fellowship among Church members and providing food services needed in relation to the various programs of the Church.

FLOWERS COMMITTEE: It shall oversee the placement of flowers in the sanctuary weekly along with providing flowers for the Church on other appropriate occasions.

17. MISSIONS COMMITTEE: The Missions Committee shall perform “hands on” mission work including, but not limited to, home repairs for the needy, Dental Ministry at Bland County, an annual missions trip, disaster relief response, etc. Monetary expenditures shall be used for building materials supplies, and travel expenses. The Missions Committee shall submit a budget of planned and emergent expenses on an annual basis, to be approved by the Church at a Quarterly or Special Business Meeting. The source of needed funds shall be from the interest and principal of the SBC Missions CD. After the annual budget is approved, the Committee shall monitor the budget, submit requests to the Church Financial Secretary for disbursement, and provide a Quarterly detail accounting of all expenditures. 18. MUSIC AND DRAMA COMMITTEE: The Music and Drama Committee shall assist the Church Choral Director with planning, coordinating, promoting, and executing the Music Ministry and shall be responsible for the maintenance of all musical instruments. The Music and Drama Committee shall be composed of the following continuing members: Church Choral Director, Accompanists, Praise Band Leader, and Children’s Choir Director(s). The Church Choral Director and Accompanists are prohibited from serving as Chairperson of the committee.

19. NOMINATING COMMITTEE: The Nominating Committee shall nominate, at the Quarterly Business Meeting on the third Sunday evening in July persons to serve on all Church committees including the following Officers: Clerk, Moderator, Historian, Sunday School Director, Assistant Sunday School Director, and Assistant Financial Secretary, as well as a list of Deacon nominees furnished by the Chairperson of the Deacons. Not later than June 26 of each year, the Committee will deliver to the Church Secretary a written list of the Committee’s nominees to fill each position. Not later than July 1st of the same year, the Church Secretary will mail a list of the Committee’s nominations to each Church member. The Church membership will then, at the Church Business Meeting on the third Sunday evening in July of the same year, elect persons from the Committee’s list of nominees and from any further nominations offered from the floor, if said nominee consents to his/her name being placed in nomination and agrees to fulfill the obligations of the position. The Financial Secretary shall not serve as Stewardship and Finance Chairperson. The Nominating Committee shall strictly adhere to the following criteria when compiling the written list of nominees

a. To be a voting member of a committee, the nominee must be a Church member. To serve on the Stewardship and Finance, Teller, Personnel or Nominating Committees, the nominee must be a Church member. It is the responsibility of the Nominating Committee to verify the status of each nominee’s Church membership. b. The Nominating Committee shall meet throughout the year to monitor the activity of each committee, identify replacement candidates for election by the Church for each Church year, and to fill vacancies created during the current Church year. c. Church Staff or Church members who are under contract to provide services to the Church shall not be elected Chairperson of a committee for which they are rendering services. (i.e., Financial Secretary shall not serve as Stewardship and Finance Chairperson). d. The Pastor or Associate Pastor(s) shall be invited, and strongly encouraged to attend, all meetings where nominees for committee membership shall be discussed, nominated, and voted upon. The Pastor and Associated Pastor(s) may offer their opinions regarding nominees but shall not be permitted to vote for/against any nominee. Votes to place a member into nomination shall be by vote of the entire Nominating Committee.(i.e., not by a single Nominating Committee Member). 20. OPEN DOOR SERVICE COMMITTEE: 21. (For further details of this Committee, please see Section ? of these By-Laws.) 25. SUNSHINE COMMITTEE 26. TRANSPORTATION COMMITTEE: 27. USHERS AND OFFERTORY COMMITTEE: 28. VISITATION COMMITTEE: 29. WELCOME COMMITTEE: 30. YOUTH MINISTRIES COMMITTEE: The Committee shall plan and implement programs for the benefit of the youth of the Church, including interviewing and selecting the Summer Youth Worker. Further, the Committee shall solicit and review applications for, and award scholarships from the Smithfield Baptist Church Educational Memorial Fund. Scholarship Awardees shall be recognized at least one Church service. Awardees shall be selected from among those youth of the Church who have significantly contributed to the life of the Church. All High School and College Graduates shall be recognized. The Committee shall consist of three Adults and two Youth representatives, each shall be a voting member. The Associate Pastor for Youth and Children shall also be a voting member, but is prohibited from serving as Chairperson of the Committee.

STEWARDSHIP AND FINANCES OF THE CHURCH A. FINANCIAL SECRETARY: It shall be the duty of the Financial Secretary to receive, preserve, and pay out, upon receipt of vouchers approved and signed by authorized personnel, all money or instruments of value (i.e., stocks, bonds, real estate) paid or given to the Church, keeping at all times an itemized account of all receipts and disbursements. It shall be the duty of the Financial Secretary to render, on a monthly basis, a summary and analysis of the current month and Year-to-Date expenses and revenues, to the Stewardship and Finance Committee, The Board of Deacons and at each Quarterly Business Meeting to the Church at large (i.e., August 31st of each year). The report of the Financial Secretary and the Church financial records shall be audited as detailed in Section ? above. The Church Financial Secretary and Assistant Financial Secretary shall be bonded. Upon rendering the current month and YTD accounting at the end of the Church year following acceptance and approval by the Church, the accounting records shall be delivered by the Financial Secretary to the Church Clerk, who shall keep and preserve the accounting in the Church vault as a part of the permanent records of the Church. The Financial Secretary is required to retain and archive individual giving envelopes for a minimum of eighteen(18) months; deposit recaps, paid bills and bank reconciliation statements for four(4) years. The Church Financial Secretary shall work under the direction of, and be responsible to, the

Chairman of the Stewardship and Finance Committee and the Pastor. Should the Financial Secretary’s position becomes vacant for any reason, the Chairperson of the Stewardship and Finance Committee shall perform the Financial Secretary’s duties on an interim basis only while a replacement Financial Secretary is interviewed and hired. The Church Financial Secretary is an hourly employee. B. STEWARDSHIP AND FINANCE: This committee design and recommend an overall Stewardship Development Plan and unified Church budget subscription plan. The Committee shall be responsible, for managing and investing all funds of the Church. The Committee shall advise and direct the administration of gifts to the Church using sound principles of financial management. The Committee shall work with the Financial Secretary in the preparation and presentation to the Church of reports to inform the members regarding the financial affairs of the Church. Based on the extensive learning curve to fully understand the complexity and depth of the position, it is recommended that before serving as Chairperson of this Committee, a member serve one full term as a member of the Committee, and, once elected Chairperson by the Committee, he/she may serve not more than two(2) full, three-year terms as Chairperson. C. BUDGET: The Church membership shall adopt the Church Budget for the next Church year (beginning September 1st) at its Quarterly Business Meeting on the third Sunday evening in July. Prior to presentation of the Proposed Budget for adoption, the Stewardship and Finance Committee shall adhere to the following procedure: 1) Prior to April 15th of each year, the Committee shall solicit Budget requests from Church Staff, Officers, Directors, and Committee Chairpersons. 2) Between May 15th and June 5th, the Stewardship and Finance Committee shall study submitted requests, develop a Preliminary Proposed Budget, and provide a copy of the Preliminary Proposed Budget to the Church Secretary. 3) Not later than June 10th, the Church Secretary shall mail a copy of the Preliminary Proposed Budget to the Deacons, the Pastor, Associate Pastor(s), and Church Council for their review, together with a notice stating the time and place that the Stewardship and Finance Committee will hear their comments. The comments hearing shall be conducted on or before June 25th. 4) The Committee will then meet to finalize the Proposed Budget and deliver a copy to the Church Secretary prior to July 5th. 5) Not later than ten(10) days prior to the Quarterly Business Meeting in July, the Church Secretary will mail a copy of the Proposed Budget to each member, together with a notice that the Proposed Budget will be presented for adoption at the Quarterly Business Meeting on the third Sunday evening in July. 6) Expenditures in excess of $500 being required during the course of the Church year that are not already included in the Adopted Budget (other than expenditures for the protection of Church property and /or the continued operation of the facility), shall be brought before the Church membership for

approval at either a regular Quarterly Business Meeting or a Special Business Meeting. D.

ACCOUNTING PROCEDURES: All monies of the Church received for any and all purposes with the exception of a nominal petty cash funds to be maintained by the Church Office Staff under the direction of the Pastor, shall be deposited in the designated Financial Institution contracted to handle Church funds by the Assistant Financial Secretary. All counting and deposit of Church monies by the Church Tellers Committee shall be performed within the designated financial institution facility. Deposit information received by the Financial Secretary shall be promptly and properly recorded on the Books of the Church. The Financial Secretary and Assistant Financial Secretary shall be bonded under the comprehensive insurance policy of the Church. The Church Secretary shall be permitted to handle Petty Cash receipts and disbursements through the Church Office on a daily basis on the condition the Petty Cash total does not exceed $500. A detailed accounting of all receipts and disbursements is to be submitted to the Church Financial Secretary on a weekly basis. An electronic system of accounting that will adequately provide for the handling of all monies shall be the responsibility of the Stewardship and Finance Committee. Each disbursement of the Church monies shall be by check issued by the Financial Secretary or by debit card as authorized by the Stewardship and Finance Committee. The Chairman of the Stewardship and Finance Committee may disburse Church monies by check or Debit Card only in Emergency Situations wherein the Financial Secretary is unavailable, or when serving on an interim basis while a replacement Financial Secretary is being hired. 12. DEACON BY-LAWS

COMMITTEES 1) 2) 3) A Deacon Officers Nominating Committee shall be appointed by the Chairperson of the Deacons at the Monthly Deacon Meeting immediately preceding the final Quarterly Business Meeting of the Church year. The Committee shall be composed of at least three (3) members not currently holding office and the Pastor (serving as ex-officio member). The Committee shall promptly meet after the election of the Deacon at the Annual Church Business Meeting and select candidates for the offices of Chairperson, Vice-Chairperson and Secretary to be voted upon by the Deacon Body.
